Anthropic Long-Term Benefit Committee holds a control right over ↓ Anthropic
Anthropic’s restated certificate of incorporation filed on 24 May 2021 constituted a Long-Term Benefit Committee with the exclusive power to approve or reject candidates for nomination or appointment as directors, except as set out in the stockholders’ Voting Agreement, and required candidates to receive its prior approval, except directors in office in May 2021 and those elected as Series A, Common or CEO Directors under the Voting Agreement. Date 2021-05-24 · snapshot Scope and limits What the filed text says; whether the committee had members or used the power is not recorded. Directors were elected solely by stockholders who were parties to a Voting Agreement (Article VIII(C)), which was not inspected. Anthropic later described the committee as an earlier version of the Long-Term Benefit Trust written into its 2021 Series A investment documents (context below). Recorded as a veto over director candidates; it is not a right to elect directors.

Relation. A documented right through which the subject controls, or shapes the governance of, the object — controlling it as sole member or general partner, holding its voting control, or electing, appointing or removing its directors — through a named instrument and from a stated date. Stage separates planned, announced or agreed arrangements from effective ones. A control right is not an ownership share: an equity stake, an observer seat or a board seat is not control, and none is inferred from another.
Date. Filing date of the restated certificate.
