Anthropic Long-Term Benefit Trust holds a control right over ↓ Anthropic
Under Anthropic’s restated certificate filed on 3 July 2025, while any Class T Common Stock is outstanding the company may not, without the consent or vote of all Class T holders as a separate class, amend the Class T provisions or the phase-in definitions, alter the certificate so that the board’s legal powers are exercised by another person or body, or change the number of directors except to add seats at least half of which Class T holders elect. Acts without that consent are declared void. Copy claim link

Date 2025-07-03 · snapshot Scope and limits A consent right recorded as a veto; the Trust’s holding of the Class T stock rests on Anthropic’s statements. The certificate also sets stockholder thresholds for amending the Class T provisions; whether stockholders can change or end the Trust without the Trustees is set aside as a question of legal interpretation.

Paraphrase The consent is required to amend Article IV(D) or the Class T director and phase-in definitions or otherwise adversely affect Class T rights; to alter the board’s legal powers so that another person or body exercises them; or to change the authorised number of directors, except an increase in which at least half of the new seats are elected by Class T holders; acts without it are null and void.

Relation. A documented right through which the subject controls, or shapes the governance of, the object — controlling it as sole member or general partner, holding its voting control, or electing, appointing or removing its directors — through a named instrument and from a stated date. Stage separates planned, announced or agreed arrangements from effective ones. A control right is not an ownership share: an equity stake, an observer seat or a board seat is not control, and none is inferred from another.
Date. Filing date of the latest inspected certificate.
