Anthropic Long-Term Benefit Trust holds a control right over ↓ Anthropic
Anthropic’s restated certificates of incorporation since March 2023 give holders of Class T Common Stock, voting as a separate class, the right to elect one director from 6 September 2023, two from the Second Phase-In Date and three of five from the Final Phase-In Date. Anthropic states that the Class T stock is held exclusively by the Long-Term Benefit Trust and gives it authority to elect and remove a number of board members that phases in by time- and funding-based milestones. Date 2023-09-06 → End unknown Scope and limits The Trust’s holding of the Class T stock rests on Anthropic’s statements; no share register was inspected. An election right is not ownership, and whether the Trust controls Anthropic needs legal interpretation and is set aside. The latest inspected certificate (filed 2025-07-03) keeps the same allocation of a five-member board.

Status and meaning Editorial status. Not reviewed by an editor . An exploratory record that no editor has accepted. This status does not say whether a person has read any linked passage. Each evidence record above shows how it was checked.
Relation. A documented right through which the subject controls, or shapes the governance of, the object — controlling it as sole member or general partner, holding its voting control, or electing, appointing or removing its directors — through a named instrument and from a stated date. Stage separates planned, announced or agreed arrangements from effective ones. A control right is not an ownership share: an equity stake, an observer seat or a board seat is not control, and none is inferred from another.
Date. The First Phase-In Date in the certificates. The later phase dates depend on board determinations that were not published (see the phase-in provisions); no end is recorded.
