OpenAI GP LLC holds a control right over ↓ OpenAI OpCo, LLC
The UK Competition and Markets Authority states that under the 2023 LLC Agreement the strategic direction, management and day-to-day operation of OpenAI OpCo LLC are controlled by OpenAI GP LLC as its Manager, which is in turn wholly owned and controlled by OpenAI Nonprofit, and that members’ voting rights are restricted to matters related to typical financial investor protections. Date 2025-03-05 · snapshot Scope and limits The regulator’s description of agreements it reviewed; the LLC Agreement itself was not inspected, and parts of the CMA’s account are redacted. In the same decision the CMA concluded that Microsoft has material influence over OpenAI OpCo’s commercial policy but does not exercise de facto control over it; that finding is not recorded as a control right or as its absence. The 2023 court disclosure names OpenAI, Inc. and OpenAI GP, L.L.C. as OpenAI OpCo’s parent companies (context below).

Relation. A documented right through which the subject controls, or shapes the governance of, the object — controlling it as sole member or general partner, holding its voting control, or electing, appointing or removing its directors — through a named instrument and from a stated date. Stage separates planned, announced or agreed arrangements from effective ones. A control right is not an ownership share: an equity stake, an observer seat or a board seat is not control, and none is inferred from another.
Date. The arrangement as the CMA describes it in its decision given on 5 March 2025 (full text published 15 April 2025). The LLC Agreement’s date within 2023 and the arrangement’s later continuity are not recorded.
