Scope, evidence and limits

Description: Delaware public benefit corporation whose certificate of incorporation was filed on 28 October 2025 (file number 10381551). OpenAI describes it as the for-profit company controlled by the OpenAI Foundation.

The records are grouped automatically. No human inspection of the selected claims, source paths or framing is recorded for this dossier. Each source passage shows how it was checked.

The dossier is computed from existing records. It is not a continuous history of the institution, and a missing record does not mean that an event or relationship did not happen. The chronology uses the dates of events and reports, not the date the public could first have known of them. Later sources can describe earlier events.

    Qualification and date notes

Effective control here concerns the Foundation’s ability to enforce its mission through its retained governance powers when commercial interests or Group management resist. OpenAI asserts continuing control; formal rights are documented separately. Bret Taylor’s announcement for OpenAI’s board says the recapitalization keeps the mission at the center and maintains the strongest representation of mission-focused governance in the industry. Not For Private Gain recognises improvements over the abandoned proposal while judging control weaker than under the former structure and identifying conditional risks to effective exercise. CalMatters reports critics’ concerns about possible commercial predominance. Fried and Reiter describe the Foundation’s appointment, veto and safety-blocking powers as substantial authority over investors and argue that guardians may do too much as well as too little. The Delaware Attorney General’s non-objection is conditional on representations. These sources do not settle practical effectiveness, and no legal conclusion or side is adopted.

Dated by the recapitalization whose control arrangements the question concerns (the certificate filed and the Delaware Attorney General’s letter of 28 October 2025). The date does not bound a period of effective control, and no end is recorded. The cited passages were published from 28 October 2025 to 11 May 2026 (OpenAI’s structure page is undated); those are source dates, not the period of the question.

    Qualification and date notes

The Foundation’s holding of the Class N share rests on OpenAI’s statements and on its representation to the Delaware Attorney General; no share register was inspected. A director-election right is not an ownership share: OpenAI states that the Foundation held a 26% equity stake at the closing. Whether these rights amount to control in law is set aside, and whether the control is substantive is a separately recorded dispute.

The certificate’s filing date; OpenAI’s page describes the structure announced on 28 October 2025 (quote matched in the capture of 2025-10-29).

A consent right over listed actions, recorded as a veto; it is not ownership and not day-to-day control. OpenAI represented to the Delaware Attorney General a sixth approval right, over the PBC’s Corporate Governance Guidelines, to be set out in definitive documents that were not inspected.

    The certificate’s filing date.

The certificate also lets holders of two-thirds of the other voting power remove directors, up to one-third of the board in twelve months; the Class N right is not exclusive. The holder’s identity rests on OpenAI’s statements, as in the record of the Foundation’s right to elect the board.

    The certificate’s filing date.

Read from the filed certificate as hosted by DocumentCloud, which is byte-identical to the Internet Archive capture of 2025-10-29. The certificate states the public benefit as ensuring that artificial general intelligence benefits all of humanity (Article III). How the for-profit business came to sit in the corporation (merger, conversion or contribution) is not stated in the certificate and is not recorded.

Filing date and time from the stamp on page 1 of the certificate.
