Scope, evidence and limits
Description: The partnership OpenAI announced in March 2019 as a “capped-profit” company (EIN 83-1960637 in the nonprofit’s tax filing). A 2023 court disclosure states that it changed its name to OpenAI OpCo, L.L.C.; that later identity is kept separate.
The records are grouped automatically. No human inspection of the selected claims, source paths or framing is recorded for this dossier. Each source passage shows how it was checked.
The dossier is computed from existing records. It is not a continuous history of the institution, and a missing record does not mean that an event or relationship did not happen. The chronology uses the dates of events and reports, not the date the public could first have known of them. Later sources can describe earlier events.

Chronology
Records about the institution itself and documented changes to its frameworks, by year. Expand a year to read the claims. People’s other institutional records and related documents have their own sections. Where a date gives only the year or month, the order within it is unknown.

A self-reported tax schedule; the form’s terms are not interpreted under partnership law. OpenAI GP LLC is reported on the same schedule as a disregarded entity of OpenAI Inc; the two records are not joined into a chain of control. The partnership agreement was not inspected.
Reported for tax year 2019; the return was submitted on 2020-11-16 according to the render.

OpenAI’s own account of a structure it was creating. It is not evidence of the partnership’s formation date, its agreements or any payment of returns. The post says that “OpenAI” would from then on refer to OpenAI LP and the original entity to “OpenAI Nonprofit”, and that caps for later rounds would be negotiated per limited partner and expected to be lower. Control is recorded separately (the record of the March 2019 announcement on board control); the umbrella OpenAI identity is the subject because the post speaks for “OpenAI”.
Date of the announcement (day precision), shown on the post and on the Internet Archive capture of 2019-03-11. The partnership’s own formation date is not stated in the post and is not recorded.

The publisher’s description of its structure; the partnership agreement was not inspected. The post’s caption says that in its paperwork “the general partner” refers to OpenAI Nonprofit, while the tax year 2019 Form 990 lists OpenAI GP LLC, a disregarded entity of OpenAI Inc, as the partnership’s direct controlling entity. These records do not settle which entity was the general partner in law. The 2019 post also lists the board’s members; that list is not recorded here.
Date of the announcement (day precision).

The filing calls the change a change of name and the CMA a re-establishment; the legal mechanism (conversion, merger or other) is not documented here and would need legal interpretation. The same disclosure states that OpenAI, Inc. and OpenAI GP, L.L.C. are OpenAI OpCo’s parent companies and that Microsoft Corporation has an ownership interest of 10% or more; ownership is not recorded as control. Continuity of assets, contracts or obligations is not implied.
Year as stated by the CMA. The court disclosure, filed on 2023-06-29, says “recently”, so the change took place on or before that date. No month or day is recorded.
